1. Acceptance of Terms
By accessing or using OpenSty ("Service"), operated by OpenSty ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service. These terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
OpenSty is a software-as-a-service (SaaS) platform that enables accommodation owners to create booking pages, receive direct booking requests from guests, and manage their properties and reservations. We do not process payments between hosts and guests. We are not a party to any booking agreement between hosts and their guests. OpenSty serves solely as a tool for hosts to manage their direct booking workflow.
3. User Accounts
To use certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. We reserve the right to suspend or terminate accounts that contain inaccurate or incomplete information.
4. Subscriptions and Payments
Some features of the Service require a paid subscription. By subscribing to a paid plan, you agree to pay the applicable fees as described on our pricing page. Subscriptions are billed on a recurring basis (monthly or annually). You may cancel your subscription at any time through your account settings or the Stripe customer portal. Cancellation takes effect at the end of the current billing period. We reserve the right to change our pricing with reasonable notice. Price changes will not affect your current billing period.
5. User Content
You retain ownership of all content you upload to the Service, including property descriptions, photos, and other materials ("User Content"). By uploading User Content, you grant us a limited, non-exclusive license to store, display, and transmit your content solely for the purpose of providing the Service. You are solely responsible for your User Content and represent that you have all necessary rights to upload and share it.
6. Prohibited Uses
You agree not to use the Service to: - Violate any applicable laws or regulations - Post false, misleading, or fraudulent property listings - Infringe on the intellectual property rights of others - Transmit spam, malware, or other harmful content - Attempt to gain unauthorized access to the Service or its systems - Interfere with or disrupt the Service or its infrastructure - Use the Service for any illegal or unauthorized purpose
7. Intellectual Property
The Service, including its design, code, logos, and documentation, is owned by OpenSty and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our prior written consent. The OpenSty name, logo, and all related marks are trademarks of OpenSty. You may not use them without our permission.
8. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, secure, or error-free. We are not responsible for any booking disputes between hosts and guests.
9. Limitation of Liability
To the maximum extent permitted by law, OpenSty shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service. Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
10. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time by contacting us. Upon termination, we will delete your account data in accordance with our Privacy Policy.
11. Changes to Terms
We reserve the right to modify these Terms of Service at any time. We will notify users of material changes by posting the updated terms on the Service and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised terms.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the European Union and the applicable laws of the jurisdiction in which OpenSty operates, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the competent courts.
